Position:
Assistant General Counsel (or Associate General Counsel, depending on experience) for MEMC Electronic Materials, Inc., a global leader in semiconductor and solar technology. Through its SunEdison subsidiary, MEMC is also a developer of solar power projects and a worldwide lea! der in solar energy services. MEMC's common stock is listed on! the New York Stock Exchange under the symbol "WFR". Position reports to the Company's General Counsel. Attorney with strong public company background ('33 Act and '34 Act and Sarbanes Oxley), with a minimum of 5-8 years of experience, including experience at a major law firm and/or a publicly traded company, working on financings, commercial transactions, and acquisitions. Experience with semiconductor, electronics, technology, manufacturing or solar companies a plus. The ideal candidate will be skilled at communicating succinctly and in plain English with senior management, outside lawyers and internal clients.

Commensurate with experience.

The position is located in St. Peters, MO. No Relocations.

Detailed Position Description:
MEMC seeks a hands-on, results-oriented, business-minded attorney with demonstrated experience in the following areas: Sarbanes-Oxley and 1934 Act compliance and r! eports (10-K's, 10-Q's, 8-K's and proxy statements), financing agreements and general commercial agreements. The position reports to MEMC’s General Counsel and Corporate Secretary. The lawyer selected will have a law degree from a national ABA accredited law school, and should be admitted to the Missouri Bar (or be able to qualify for the Missouri Bar within a reasonable period of time).

General Areas of Responsibilities and Deliverables Will Include:

The Assistant General Counsel (Associate General Counsel) will be expected to assist the General Counsel and will:

Assist the General Counsel to ensure that the Company conducts its business in compliance with applicable SEC laws and regulations and NYSE rules; manage Sarbanes-Oxley and 1934 Act compliance and reports (10-K's, 10-Q's, and 8-K's and proxy statements);
Work closely with the General Counsel and Chief Financial Officer on earnings releases, analyst/investor conferences, disclosure ! issues and shareholder proposals;
Advise on legal aspects of the Co! mpany's financing and other contracts and agreements; assess and advise on current and future business structures and legal entities;
Participate in the design and development of corporate policies, procedures, and programs and provide counsel and guidance on legal matters, regulatory interpretations, and on legal implications of all matters. This lawyer will serve as a key legal advisor on all major business transactions, including acquisitions, divestitures, and joint ventures;
Manage and evaluate outside counsel and monitor and control outside legal expenses; and Oversee MEMC’s paralegal with responsibility for the Company’s worldwide subsidiaries, including working with outside local counsel to ensure compliance with applicable laws, regulations, and statutes in the relevant jurisdictions.

The ideal candidate will have the following experience:
Demonstrated experience with SEC and NYSE; experience handling Sarbanes-Oxley and related regul! ations;
Corporate finance experience, including credit agreements and securities offerings;
Experience dealing with international locations and foreign lawyers;
Demonstrated experience with securities, antitrust, corporate compliance, contracts, mergers, acquisitions and joint ventures
Demonstrated experience handling matters of corporate governance with a public company board of directors is required; Experience with cost effective management of outside legal resources; and
E xperience with the solar and/or semiconductor industry, the electronics industry or with general manufacturing. Key Traits:
