STAFF ATTORNEY

- Under general direction, advises and counsels in some or all of the following legal areas: legal rights, obligations, and privileges; litigation risk and valuation; entity formation and maintenance; business operations and contracts; corporate finance and governance; corporate and regulatory compliance; and stock transactions.
- Works closely with the senior attorneys, compliance officers, and the General Counsel in advising on and coordinating a wide range of legal matters affecting UniGroup and its subsidiaries.
A Staff Attorney in the Corporate/Business Operations/Compliance group:
- Drafts and negotiates legal documents, performs legal analysis, and advises UniGroup and its affiliates in a wide range of corporate transactions and initiatives, after consulting with senior corporate attorneys, compliance officers, and/or the General Counsel.
- May be responsible for a wide variety of corporate and business operations projects, including preparation of corporate organizational documents, minutes and Board meeting materials; drafting, negotiating, and reviewing transportation contracts, licenses, leases, non-disclosure, and other vendor agreements; corporate, regulatory, and securities compliance; general intellectual property protection; mergers and acquisitions; project management; bankruptcy matters; and policy development.
- May be called upon to research and advise on various areas of federal and state laws, including transportation, securities, corporate governance, consumer protection, federal leasing regulations, employment, international, insurance, intellectual property, real estate, government contracts, antitrust, and tax.
- Performs a variety of other duties as assigned.
- Graduation from an accredited law school.
- Possess a Missouri law license and be a member in good standing with the Missouri Bar (or possess a current law license in another state, be a member in good standing in that stateâs bar, and be willing and able to promptly obtain a Missouri law license within 12 months of hire date).
- Three or more years of legal practice with experience in litigation (including general litigation, commercial, and/or insurance defense) or corporate law (including general corporate, administrative, employment, intellectual property, regulatory, and/or transactional experience).
- Ability to clearly and efficiently communicate in writing with both internal company representatives and external parties.
- Ability to prepare and verbally deliver presentations to a variety of internal and/or external audiences.
- Highly effective analytical, decision-making, and written/verbal communication skills.
- Ability to investigate complex business problems, develop effective recommendations, negotiate and/or present solutions, and resolve problems in a highly professional and tactful manner.
- Highly motivated, organized, and able to set priorities effectively.
- Strong work ethic and interpersonal skills.
- Ability to access, enter, modify, and retrieve data on a personal computer.
- Ability to read, write, and speak the English language and compose correspondence.
- Visual acuity sufficient to accurately review and proof information. Auditory ability to use a telephone. Willing and able to travel as required to out-of-town locations and use public transportation vehicles (automobiles, airplanes, buses, etc.).
