Responsible for fact gathering and legal research to provide legal assistance and advice in matters related to commercial contracts, real estate law and general business transactions. Reviewing and drafting commercial contracts, lease agreements and modifications, purchase and sale agreements and other real estate related or transactional documents. Negotiate with outside parties. Represent the Legal perspective on company projects and monitor outside counsel.
Job Responsibilities and Accountabilities:
- Organize and supervise co! mplex projects, develop results-oriented strategies, and monit! or results.
- Fact gathering and research includes reviewing documents in real estate, construction, commercial and/or license and supply agreement files, interviewing associates and outside parties, and performing legal research involving case law and statutes. Projects include new store projects, acquisitions and divestitures of grocery businesses, surplus property transactions, property management matters and disputes, special projects and other contract, real estate or commercial matters.
- Negotiations typically involve counsel for landlords and developers, public and governmental bodies, banking and lending institutions, and other business entities or operators on complex issues of contract, commercial transactions and real estate law.
- Negotiations also involve resolution of disputes with landlords, property management companies, contractors, vendors and other adverse parties prior to initiation of litigation.
- Drafting typically involve! s substantial original drafting, as well as creation and modification of standard form documents and inserts, all requiring a thorough understanding of both legal and business principles to address complex issues of contract and real estate law.
- Frequent interaction with internal business leaders, including the development of legal structures and strategies to obtain new business or retain existing business in a highly competitive business environment, in ways that minimize the economic and legal risk to the Company.
- J.D. degree and member in good standing of appropriate state bar
- Minimum of three years’ applicable experience
- Thorough knowledge in real estate law
- In house counsel experience is preferred
- Commercial litigation experience/knowledge is a plus
- Demonstrated understanding of real estate business risks ! and opportunities
- Ability to deal effectively with personnel i! n and outside the Company
- Strong client service orientation and sense of urgency
- Possess excellent communication skills, both verbal and written
