Description: GCC Consulting is currently seeking to employ Corporate/Attorney/In House/Saint Louis, Missouri right now, this job will be settled in Missouri. Associate General Counsel, Transactions Duties: Negotiate, review and preparation of legal documents in connection with a! wide variety of business transactions, including, among others: financially-based commercial agreements such as bank loan, revolving credit and related financial agreements, equity and debt underwriting agreements, vendor service agreements, utility sales and transportation agreements, natural gas commodity and related financial derivative agreements, software licensing agreements, property acquisitions and sales, easements, and other commercial and transactional documents. Assist General Counsel or Vice President, Deputy General Counsel in the negotiation, review and preparation of merger and acquisition agreements. Provide advice and counsel with regard to business and legal issues, including risk allocation and mitigation issues. Lead, coordinate and participate in special projects that involve multiple functional areas across the Company. Review and approve easement releases, subordination agreements, utility access agreements, and other documents that affect the Compa! ny s property interests.

Qualifications: A Law! degree from an American Bar Association (ABA) accredited law school. 10 years of experience negotiating transactions and reviewing and preparing agreements. 8 years of experience reviewing documents and situations to spot legal issues and potential liabilities. Experience working in the regulated energy business, and in particular working with regulated public utilities, is preferred.
