Title: Corporate Paralegal
Reports To: General Counsel
Location: St. Louis, Missouri

Position Summary:
The Corporate Paralegal will provide support to LDI’s General Counsel in the following areas: contract drafting and review, contract database and file maintenance, corporate compliance and corporate governance matters, contract searches and filings, research and special projects.

Responsibilities:

  • Administer routine contract requirements, prepare and file required filings
  • Conduct research and resolve legal questions under the guidance of supervising attorney
  • Prepare routine documents, agreements and instruments, s! uch as confidentiality, consulting, purchase and sale contract! s, and request insurance certificates
  • Maintain electronic contract database, tracking effective dates, termination dates and notice requirements of all contracts
  • Handle information requests to and from other company personnel, including research of legal matters and historical information from company records and information from other departments regarding corporate entities, commercial transactions and litigation
  • Review documents and transmit information and documents to outside counsel and company personnel with minimal guidance from supervising attorney
  • Prepare and file state and local filings (qualifications) for company and subsidiaries
  • Coordinate with outside counsel and other internal personnel to obtain information and documentation required to maintain trademark registrations
  • Furnish assistance in financing and business development transactions, including due diligence, review and preparation of schedules
  • !
  • Furnish litigation support including file set-up and maintenance, document and fact gathering, review and preparation of discovery materials, and coordination of work through outside counsel
  • Manage special projects outsourced to consultants or outside counsel
Required Qualifications:
  • Bachelor’s Degree and Paralegal Certificate
  • 5-10 years’ experience in a corporate legal department
  • Experience in pharmacy benefit management or health insurance Industry highly preferred
  • Driven and self-motivated with a strong desire for learning
  • Extremely organized with a strong sense of priority, urgency and commitment to deadlines
  • Exceptional writing skills
  • Ability to manage a heavy workload and prioritize multiple projects
  • Ability to work independently while functioning well in a team environment
  • Ability to understand general business operations, issues and dynamics beyond! the scope of basic legal issues
  • Ability to communicate effect! ively with members of other departments in order to support their functions as well as to assist them in supporting the legal staff
  • Strong computer skills, including proficiency with Microsoft Office products (Word, PowerPoint & Excel)
