Primary Responsibilities:
Provides legal assistance to corporate VP, General Counsel and prepares documents to assist the by performing the following duties:
Acts as liaison between company attorneys, outside counsel, organizations and in-house employees. Compiles data from legal digests, encyclopedias and practice manuals
Assembles proofs and edits drafts of contracts, leases, licenses and insurance policie.
Prepares and files legal documents with appropriate entities, as required
Conducts research on projects as directed by ! corporate attorneys
May review and ensure the company! 's compliance with regulations
Assists internally in analyzing documents. Counsels on progress of cases
Assist with the review and preparation of New York Stock Exchange and Securities and Exchange Commission Filings
May perform administrative and clerical duties for individual(s) in the legal department, such as developing and maintaining filing systems, preparing letters, reports and other materials; filing documents with appropriate entities in accordance with legal requirements
May also act as an information source on organization policies and procedures
May assist in establishing office policies and procedures, and coordinates special projects and department activities
Other Duties and Responsibilities include the following:
Researches and analyzes law sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes
Prepares legal documents such as b! riefs, pleadings, appeals, contracts, initial and amended articles of incorporation, stock certificates and other securities, buy-sell agreements, closing papers and binders, deeds, and trust instruments for review, approval, and use by VP, General Counsel
Investigates facts and law of case to determine causes of action and to prepare case accordingly
Performs other clerical duties such as scheduling appointments, providing information to callers, taking dictation, composing and typing routine correspondence, and reading and routing incoming mail
Prepares affidavits of documents and maintains document file
Files correspondence and legal documents in office filing system
Ensures proper indexing and filing of original legal documents

Education/Experience:
Must have a minimum of a BA or equivalent work related experience
Must have 8+ years Paralegal/ Legal Assistant or equivalent experience
Language Skills:
Ability to read, analyzes, and interprets general business periodicals, professional journals, technical procedures, or governmental regulation! s
Ability to write reports, business correspondence, and procedure manuals
Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public
Computer Skills:
To perform this job successfully, an individual should have knowledge of Internet software; Spreadsheet software and Word Processing software
